These Terms of Service ("Terms") govern your access to and use of the NeuroPipe platform, including our website, APIs, SDKs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility & Access
The Service is currently available through an invite-only access model. You must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction.
- Possess a valid invite code issued by NeuroPipe or submit an approved access request.
- Provide accurate and complete information during the registration process.
- Maintain the confidentiality of your account credentials and API keys.
We reserve the right to deny or revoke access at our sole discretion, including for violation of these Terms, misuse of compute resources, or behavior that degrades the experience for other users.
2. Acceptable Use
You agree not to:
- Use the Service for any illegal, harmful, or unauthorized purpose.
- Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
- Reverse engineer, decompile, or disassemble any component of the Service.
- Share, transfer, or sell your invite code or account credentials to third parties.
- Use the Service to build competing products or extract proprietary algorithms.
- Exceed your allocated compute quota or intentionally degrade service performance.
- Transmit malicious code, viruses, or exploit vulnerabilities in the platform.
- Use the Service to generate content that violates applicable laws or regulations.
3. Intellectual Property
3.1 Your Data
You retain all rights to the data, pipeline configurations, and content you submit to the Service. We do not claim ownership over your data and will not use it for any purpose other than providing the Service.
3.2 Our Platform
The Service, including its design, architecture, code, documentation, and branding, is the intellectual property of NeuroPipe. You may not copy, modify, distribute, or create derivative works without our prior written consent.
4. Service Level
During the Private Alpha phase, the Service is provided on an "as-is" and "as-available" basis. While we strive for high availability (target: 99.9% uptime), we do not guarantee uninterrupted access during this phase. Scheduled maintenance windows will be communicated in advance via email and the Status page.
5. Compute Resources
Each approved account receives a dedicated compute allocation. Usage beyond your allocated quota may result in throttling or temporary suspension. Compute allocations are determined based on your application and may be adjusted as the platform scales.
6. Fees & Billing
During the Private Alpha phase, the Service is provided free of charge for approved users. We reserve the right to introduce pricing in future phases. Any pricing changes will be communicated at least 30 days in advance, and you will have the option to discontinue use.
7. Termination
Either party may terminate this agreement at any time. You may delete your account by contacting support. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, you will have 30 days to export your data before it is permanently deleted.
8. Limitation of Liability
To the maximum extent permitted by law, NeuroPipe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
9. Indemnification
You agree to indemnify and hold harmless NeuroPipe and its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
10. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email to active account holders. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
